Terms of Use
These terms govern your access to and use of the ClientFlow platform, websites and related services.
This is a template agreement and should be reviewed and adapted by qualified legal counsel before launch.

1. Acceptance of Terms
By accessing or using the ClientFlow platform or websites, you agree to be bound by these Terms of Use. If you are entering into these terms on behalf of a business, you represent that you have authority to bind that business. If you do not agree, you must not use the service.
2. Use of the Service
ClientFlow provides a white-labelled client-management and business operating system (BOS) platform. We grant you a non-exclusive, non-transferable right to access and use the service for your internal business purposes in accordance with these terms and any applicable order or subscription agreement.
3. Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use or suspected security breach. You are responsible for the conduct of users you authorise to access the service.
4. Acceptable Use
You agree not to:
- use the service in violation of any applicable law or regulation;
- upload malicious code or attempt to disrupt or compromise the service;
- access the service to build a competing product or to reverse engineer it;
- use the service to harass, defraud or harm others; or
- exceed the scope of your authorised use or share access without permission.
5. Intellectual Property
The ClientFlow platform, including its software, design and underlying technology, is owned by ClientFlow and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, no rights are transferred. You may not copy, modify or distribute any part of the service except as permitted by these terms.
6. White-Label & Customer Data
The platform is white-labelled to your brand. You retain all rights to the data and content you and your clients submit to the service ("Customer Data"). You grant us a limited licence to host, process and use Customer Data solely to provide and support the service. You are responsible for ensuring you have the necessary rights and consents to provide Customer Data and for its lawful use, including any sensitive consumer information processed through the platform.
7. Service Availability
We aim to keep the service available and reliable, but we may perform maintenance, updates or changes that affect availability. We do not guarantee uninterrupted access and are not liable for downtime outside our reasonable control.
8. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, ClientFlow will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising out of or related to your use of the service. Our total aggregate liability is limited to the amounts paid by you for the service in the twelve months preceding the claim.
10. Termination
We may suspend or terminate your access to the service if you breach these terms or if required by law. You may stop using the service at any time. On termination, your right to use the service ends, and we will handle Customer Data in accordance with our agreement and our Privacy & Cookie Policy.
11. Governing Law
These terms are governed by the laws of the United States, without regard to its conflict-of-laws principles. The courts of the United States will have jurisdiction over any dispute arising from these terms, subject to any mandatory rights you may have under applicable law.
12. Changes to These Terms
We may update these terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.
